QRKIEZ Provider Addendum

This Provider Addendum (“Addendum”) supplements the Qrkiez Terms of Use and applies solely to users who register, publish, or act as service providers on the Qrkiez platform (“Providers”).
By creating, publishing, or maintaining a Provider profile, or by using Provider-specific features on Qrkiez, you agree to be bound by this Addendum, in addition to the Terms of Use and Privacy Policy.
In the event of any conflict between this Addendum and the Terms of Use, this Addendum governs with respect to Provider-specific matters.
1. Role of Qrkiez
Qrkiez is a technology platform that facilitates connections between users and independent service Providers. Qrkiez does not provide healthcare, therapy, medical advice, diagnosis, treatment, or any regulated professional services.
Qrkiez does not supervise, direct, control, or endorse any Provider services, recommendations, or outcomes.
2. Independent Provider Status
Providers are independent contractors and are not employees, agents, partners, joint venturers, or representatives of Qrkiez.
Providers are solely responsible for:
- The services they offer;
- The accuracy and completeness of their profiles and credentials;
- Compliance with all applicable laws, regulations, licensing requirements, and professional standards; and
- All interactions and communications with users.
Nothing in this Addendum creates an employment, agency, or fiduciary relationship between Qrkiez and any Provider.
3. Provider Services and Platform Use
Providers may use Qrkiez features such as intake forms, messaging, scheduling, and dashboards solely to facilitate their independent services.
Providers acknowledge and agree that:
- All services are provided independently and outside of Qrkiez;
- Qrkiez is not a party to any Provider-user relationship; and
- Qrkiez does not evaluate, verify, or guarantee the appropriateness, quality, or legality of Provider services.
4. Intake Forms and User Information
Providers may create or use intake forms through the platform. Providers are solely responsible for:
- Determining what information is collected;
- Ensuring they have lawful authority to collect such information;
- Obtaining any required notices, consents, or authorizations; and
- Using such information in compliance with applicable law.
Qrkiez processes intake information only to support platform functionality and as described in the Qrkiez Business Associate Agreement, where applicable.
5. Business Associate Agreement
To the extent a Provider uses platform features that involve Protected Health Information (PHI), the Qrkiez Business Associate Agreement applies and is incorporated by reference.
Providers acknowledge that Qrkiez’s HIPAA-related obligations, if any, are limited to the scope expressly described in the BAA.
6. Prohibited Conduct (Providers)
Providers may not:
- Misrepresent credentials, qualifications, or licensure;
- Offer services they are not legally authorized to provide;
- Use the platform for emergency, crisis, or acute care;
- Provide medical advice where prohibited by law;
- Represent that Qrkiez endorses or guarantees their services;
- Use platform data or user information for unauthorized purposes; or
- Engage in conduct that violates the Terms of Use or applicable law.
7. No Endorsement or Guarantees
Qrkiez does not endorse, certify, recommend, or guarantee any Provider, service, advice, or outcome. Providers may not imply or state otherwise.
Providers acknowledge that community moderators act solely to enforce platform rules and do not supervise, evaluate, or oversee Provider conduct or services.
8. Provider Content and Credentials
Providers are solely responsible for all content they upload or display, including credentials, certifications, service descriptions, and communications.
Qrkiez may remove, restrict, or disable Provider content or profiles at its discretion, including for compliance, safety, or trust reasons.
9. Fees and Billing
Qrkiez may charge Providers fees for certain platform services, including discovery calls, as disclosed separately or through the platform.
Unless expressly stated otherwise, Qrkiez does not process payments from users to Providers. Providers are solely responsible for collecting fees from users and for all taxes, reporting, and billing obligations.
All determinations regarding whether a discovery call is deemed successfully completed and billable are governed by the Qrkiez Terms of Use and are made in Qrkiez’s sole discretion.
10. Suspension and Termination
Qrkiez may suspend or terminate Provider access, features, or profiles at any time, with or without notice, for violations of this Addendum, the Terms of Use, or applicable law.
Termination does not relieve Providers of any accrued obligations or liabilities.
11. Limitation of Liability
To the maximum extent permitted by law, Qrkiez’s liability to Providers is subject to the limitations of liability set forth in the Terms of Use.
Qrkiez is not liable for disputes, claims, damages, or losses arising from Provider services or Provider-user interactions.
Providers acknowledge and agree that the dispute resolution, arbitration, and class action waiver provisions set forth in the Qrkiez Terms of Use apply fully to Providers and to any disputes arising from Provider use of the platform.
12. Survival
Sections relating to independent status, compliance, limitation of liability, and responsibility for services survive termination of this Addendum.
Acceptance
By using Provider-specific features or publishing a Provider profile, you acknowledge that you have read, understood, and agreed to this Provider Addendum as of the Effective Date above.
